TERMS OF SERVICE

These Terms of Service govern your use of itservicelk.com and any web development or IT consulting services provided by ITServiceLK. Please read them carefully before engaging our services.

AGREEMENT TO TERMS

ACCEPTANCE

By accessing itservicelk.com or engaging ITServiceLK ("we", "our", "us") for any web development or IT consulting service, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

MODIFICATIONS

ITServiceLK reserves the right to update or modify these Terms at any time. Changes take effect upon publication on this page. Continued use of our services after modifications constitutes your acceptance of the revised Terms.

SERVICES PROVIDED

SCOPE OF SERVICES

ITServiceLK provides custom web application development, hospitality IT consulting, PMS/ERP implementation support, API design and integration, database architecture, and IT infrastructure management services.

PROJECT SCOPE

Each engagement is governed by a separate project proposal or quotation that outlines the specific deliverables, timeline, and cost. Only features and pages listed in the approved proposal are included. Additional work is subject to a separate quotation.

NO GUARANTEE OF SPECIFIC RESULTS

While we apply professional expertise to every project, ITServiceLK does not guarantee specific business outcomes, search engine rankings, revenue results, or third-party service uptime as a result of our work.

PAYMENT TERMS

PAYMENT SCHEDULE

50% of the development fee, plus 100% of domain and hosting fees (approximately USD $60), is due upon project approval to secure digital assets and commence work. The remaining 50% balance is due upon final delivery, live deployment, and handover of all administrative credentials.

NON-REFUNDABLE ADVANCE

The 50% advance payment is non-refundable once development has commenced. This covers time, resource allocation, and initial work already invested.

PAYMENT DELAYS

Delays in final payment may result in suspension of deliverables or temporary removal of the website from the live server until outstanding dues are cleared.

DOMAIN & HOSTING RENEWALS

Domain and hosting renewal fees from Year 2 onwards are the sole responsibility of the client and may vary based on international market pricing at the time of renewal.

CANCELLATION POLICY

CLIENT-INITIATED CANCELLATION

If the client cancels the project after commencement, charges will apply based on the percentage of work completed at the time of cancellation. The 50% advance is non-refundable in all cancellation scenarios.

ITSERVICELK-INITIATED TERMINATION

ITServiceLK reserves the right to terminate an engagement if the client is unresponsive for more than 30 days, fails to provide required content or materials, or breaches these Terms. In such cases, fees for work completed will be invoiced and are payable immediately.

CLIENT RESPONSIBILITIES

CONTENT & MATERIALS

The client is responsible for providing all content, images, logos, brand guidelines, and other materials required before the project commences. Any delay in providing content may extend the agreed delivery timeline, for which ITServiceLK bears no responsibility.

CONTENT ACCURACY & LEGALITY

The client warrants that all content provided does not infringe any copyright, trademark, or other intellectual property rights, and complies with all applicable laws. ITServiceLK is not liable for any legal issues arising from client-supplied content.

TIMELY FEEDBACK

The client agrees to provide feedback and approvals in a timely manner. Delays in client responses may affect the project timeline without constituting a breach by ITServiceLK.

REVISIONS & CHANGES

INCLUDED REVISIONS

Up to two (2) rounds of design revisions are included in the project quotation. Revisions must be consolidated and submitted at one time per round. Piecemeal revision requests may be treated as separate rounds.

ADDITIONAL REVISIONS

Revisions beyond the two included rounds, major redesigns, or scope changes requested after final approval will be charged separately at the prevailing hourly or fixed rate.

OWNERSHIP & INTELLECTUAL PROPERTY

CLIENT OWNERSHIP UPON FULL PAYMENT

Upon receipt of full payment, the client owns the custom website design, layout, and bespoke code developed specifically for their project.

THIRD-PARTY ASSETS

Licensed third-party assets including premium themes, plugins, frameworks, stock images, and fonts remain subject to their respective licence agreements. These cannot be transferred, resold, or used outside the scope of the original licence.

PORTFOLIO RIGHTS

ITServiceLK reserves the right to display non-confidential portions of completed projects — including screenshots and descriptions — in its portfolio and marketing materials, unless the client explicitly requests otherwise in writing prior to project completion.

PRE-PAYMENT OWNERSHIP

Until full payment is received, all work, code, and design assets remain the intellectual property of ITServiceLK. The client may not use, publish, or distribute any deliverables prior to settlement of all outstanding fees.

MAINTENANCE & SUPPORT

COMPLIMENTARY SUPPORT PERIOD

ITServiceLK provides complimentary technical support for the first 6 months following project handover. This covers bug fixes, minor content adjustments, and technical assistance within reasonable scope.

OPTIONAL ANNUAL MAINTENANCE CONTRACT (AMC)

After the complimentary period, clients may opt for an Annual Maintenance Contract (AMC) at 30,000 LKR per year, covering regular updates, security reviews, and ongoing performance optimisation.

OUT-OF-SCOPE SUPPORT

Major design overhauls, new feature development, plugin upgrades, or content restructuring are outside the scope of both the complimentary period and the AMC, and will be quoted separately.

PROJECT HANDOVER

HANDOVER PROCESS

Upon full payment, ITServiceLK will provide all login credentials, admin access, technical documentation, and any relevant third-party account details required to operate the website independently.

POST-HANDOVER LIABILITY

After formal handover, ITServiceLK is not liable for any content changes, accidental deletions, security breaches, data loss, or functionality issues arising from client-side actions, third-party updates, or hosting provider issues — unless covered under an active AMC.

BACKUP RETENTION

ITServiceLK retains a backup of the final website for 30 days post-handover. Beyond this period, ITServiceLK bears no responsibility for data retention or recovery.

LIMITATION OF LIABILITY

NO INDIRECT DAMAGES

To the fullest extent permitted by law, ITServiceLK shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our website, services, or deliverables — including but not limited to loss of revenue, data, business opportunities, or goodwill.

MAXIMUM LIABILITY CAP

In no event shall ITServiceLK's total liability to a client exceed the total fees paid by that client for the specific project giving rise to the claim.

THIRD-PARTY SERVICES

ITServiceLK is not liable for issues, outages, data loss, or changes caused by third-party services including but not limited to hosting providers, domain registrars, Google services, payment gateways, social media platforms, or CMS plugins.

CONFIDENTIALITY

MUTUAL CONFIDENTIALITY

Both parties agree to keep strictly confidential all project-related materials, access credentials, business information, technical specifications, and proprietary data exchanged during the engagement.

DURATION

Confidentiality obligations remain in force during and for 3 years after the conclusion of any project engagement.

GOVERNING LAW

JURISDICTION

These Terms of Service are governed by and construed in accordance with the laws of Sri Lanka. Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.

DISPUTE RESOLUTION

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, the matter may be escalated to formal legal proceedings.
